Normal IT Consultation Rate and Tech Support Rate will be billed at $90 per hour, with a minimum of one hour.

TMAAC commits to resolving issues promptly. In case of repeated calls for the same issue, TMAAC will investigate the root cause and ensure a permanent solution is implemented to prevent recurrence.
Regular updates will be provided for ongoing issues, with all efforts made to resolve issues within agreed-upon timeframes.
Monthly reports will be provided, detailing service usage, issue management, and system health.
A quarterly review meeting will be scheduled to discuss service performance, potential improvements, and client feedback.
Our Contracts are renewable upon expiration after a review meeting between, you, our client, and TMAAC. Either party may terminate the contract with a 30-day written notice if service expectations are consistently unmet. If a service contract is not renewed could continue on a month-to-month basis and could draw an additional fee and/or the ad hoc on-site support rate could be adjusted.

TMAAC-LLC will adhere to the highest standards of confidentiality and data security.
Compliance with all relevant privacy and security regulations will be maintained throughout the term of the contract.
This Agreement will remain in effect for the pre-determined time established during the time of service.
In the event of any termination/cancellation of this Agreement, Service Provider may:
Declare all amounts owed to it hereunder to be immediately due and payable;
Enter Service Recipient's premises and repossess all supplies, spare parts, and other items supplied by Service Provider hereunder for which payment has not been received by Service Provider; and
Cease performance of all Services hereunder without liability to Service Recipient. The foregoing rights and remedies of each party hereto shall be in addition to all other rights and remedies available to them in law and equity, but the liquidated damages as stated below shall be Service Recipient's exclusive remedy for Service Provider's failure to maintain the Up-Time of 0.
TMAAC-LLC, and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly, use for the personal benefit of TMAAC-LLC, or divulge, disclose, or communicate in any manner, any information that is proprietary to the Customer.
TMAAC-LLC and its employees, agents, and representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this Agreement.
Upon termination of this Agreement, TMAAC-LLC will return to the Customer all records, notes, documentation, and other items that were used, created, or controlled by TMAAC-LLC during the term of this Agreement.
TMAAC-LLC shall provide its services and meet its obligations under this Agreement in a timely and workmanlike manner, using knowledge and recommendations for performing the services that meet generally acceptable standards in TMAAC-LLC's community and region and will provide a standard of care equal to, or superior to, care used by service providers similar to TMAAC-LLC on similar projects.
TMAAC-LLC warrants that the Services shall be of good quality and workmanship and in accordance with acceptable procedures for the Computer System and that the Computer system will meet the specifications therefore. EXCEPT TO THE EXTENT EXPRESSLY PROVIDED HEREIN, SERVICE PROVIDER DOES NOT WARRANT THE SERVICES PERFORMED HEREUNDER OR THE ACCURACY OR CORRECTNESS OF THE RESULTS OF THE SERVICES, AND THERE ARE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY AND ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF:

SUITABILITY; AND/OR
ANY TYPE ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE.
TMAAC-LLC warrants that the services provided under this Agreement will be performed by qualified personnel and in a professional manner consistent with industry standards.
The occurrence of any of the following shall constitute a material default under this Agreement:
The failure to make a required payment when due
The insolvency or bankruptcy of either party.
The subjection of any of either party's property to any levy, seizure, general assignment for the benefit of creditors, application, or sale for or by any creditor or government agency.
The failure to make available or deliver the Services in the time and manner provided for in this Agreement.
In addition to any and all other rights a party may have available according to the law if a party defaults by failing to substantially perform any provision, term, or condition of this Agreement (including without limitation the failure to make a monetary payment when due), the other party may terminate the Agreement by providing written notice to the defaulting party. This notice shall describe with sufficient detail the nature of the default. The party receiving such notice shall have ten days from the effective date of such notice to cure the default(s). Unless waived by a party providing notice, the failure to cure the default(s) within such a time shall result in the automatic termination of this Agreement.
TMAAC-LLC and the Service Recipient agree that it may be difficult, if not impossible, to accurately determine the amount of damages that the Service Recipient may incur if the Service Provider fails to maintain the Up-Time required hereunder. Accordingly, it is agreed that $0.00 for each percentage point that the Up-Time of the Computer System is below the Up-Time of 0 percent as stated in the above Description of Service Section shall be deemed to be the weekly liquidated damages for such failures and shall be payable to Service Recipient in the form of a credit at the end of the month in which such failure(s) occurred.
If the performance of this Agreement or any obligation under this Agreement is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party is unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event.
The term Force Majeure shall include, without limitation, acts of God, plague, epidemic, pandemic, outbreaks of infectious disease, or any other public health crisis, including quarantine or other employee restrictions, fire, explosion, vandalism, storm or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, or wars, or strikes, lock-outs, work stoppages, or supplier failures.
The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates.
Any controversies or disputes arising out of or relating to this Agreement shall be resolved by binding arbitration in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association. The parties shall select a mutually acceptable arbitrator knowledgeable about issues relating to the subject matter of this Agreement.
In the event the parties are unable to agree to such a selection, each party will select an arbitrator and the two arbitrators in turn shall select a third arbitrator, all three of whom shall preside jointly over the matter.
The arbitration shall take place at a location that is reasonably centrally located between the parties, or otherwise mutually agreed upon by the parties. All documents, materials, and information in the possession of each party that are in any way relevant to the dispute shall be made available to the other party for review and copying no later than 30 days after the notice of arbitration is served.
The arbitrator(s) shall not have the authority to modify any provision of this Agreement or to award punitive damages. The arbitrator(s) shall have the power to issue mandatory orders and restraint orders in connection with the arbitration.
The decision rendered by the arbitrator(s) shall be final and binding on the parties, and judgment may be entered in conformity with the decision in any court having jurisdiction.
The arbitration agreement shall be specifically enforceable under the prevailing arbitration law.
During the continuance of any arbitration proceeding, the parties shall continue to perform their respective obligations under this Agreement.
The Service Recipient agrees to indemnify, defend, and hold harmless TMAAC-LLC and its employees, agents, and subcontractors from any third-party claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of the performance of services by TMAAC-LLC under this Agreement, except for claims directly resulting from the gross negligence or willful misconduct of TMAAC-LLC. This indemnification will extend to any issues that arise even if TMAAC-LLC is included in a lawsuit without cause or directly as a result of performing duties agreed upon in this SLA.
If TMAAC-LLC becomes involved in litigation arising from this Agreement or the services provided herein, and TMAAC-LLC is the prevailing party in such litigation, The Service Recipient agrees to reimburse TMAAC-LLC for all reasonable legal fees and court costs incurred. Furthermore, if TMAAC-LLC is found not liable or is exonerated from all claims in such litigation, The Service Recipient will be responsible for covering all legal fees and related costs incurred by TMAAC-LLC in defending such claims.
This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Agreement. This Agreement supersedes any prior written or oral agreements between the parties.
If any provision of this Agreement will be held to be invalid or unenforceable for any reason, the remaining provisions will continue to be valid and enforceable.
If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision will be deemed to be written, construed, and enforced as so limited.
This Agreement may only be amended or modified by a written document executed by both parties.
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
All notices, requests, demands, and other communications under this Agreement shall be in writing and shall be deemed to have been duly given on the date of service if served personally on the party to whom notice is to be given, or on the third day after mailing if mailed to the party to whom notice is to be given, by first class mail, registered or certified, postage prepaid, and properly addressed.
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
E-signatures are acceptable in signing agreements for the terms of our Service Level Agreements.

911 Dialing Notice and Terms of Service: TMAAC-LLC Communications 911 Dialing is different than traditional 911 service and we would like to make sure that you have a clear understanding about our 911 Dialing. Also, due to a recent FCC ruling, you must acknowledge that you understand how our 911 Dialing works. Setting up your 911 Dialing is still the same, simply fill out a short form in the Features section of your web account with your street address, and will get you up and running. You can easily update your address at any time through your web account.
Most of our customers (other than WiFi and Softphone customers) have access to either basic 911 or Enhanced 911 (E911) service. With E911 service, when you dial 911, your telephone number and registered address is simultaneously sent to the local emergency center assigned to your location, and emergency operators have access to the information they need to send help and call you back if necessary. Customers in locations where the emergency center is not equipped to receive your telephone number and address have basic 911. With basic 911, the local emergency operator answering the call will not have your callback number or your exact location, so you must be prepared to give them this information. Until you give the operator your phone number, he/she may not be able to call you back or dispatch help if the call is not completed or is not forwarded, is dropped or disconnected, or if you are unable to speak. As additional local emergency centers become capable of receiving our customers' information, TMAAC-LLC Communications will automatically upgrade customers from basic 911 to E911 service. TMAAC-LLC Communications will not give you notice of the upgrade.
Certain customers do not have access to either basic 911 or E911. If you don’t have access to basic 911 or E911 your 911 call will be sent to the TMAAC-LLC Communications national emergency call center. A trained agent at the emergency call center will ask for the name, telephone number, and location of the customer calling 911, and then contact the local emergency center for such customer in order to send help. Examples of situations where 911 calls will be sent to the TMAAC-LLC Communications national emergency call center include when there is a problem validating a customer address, the customer is identified with an international location, or the customer is located in an area that is not covered by the landline 911 network. In addition, if you use a WiFi or SoftPhone, due to the portable nature of these Devices, your 911 calls will be routed to the TMAAC-LLC Communications national emergency call center. Emergency personnel do not receive your phone number or physical location when your 911 call is routed to the Thomas Millender Associate, LLC national emergency call center.
You must register with TMAAC-LLC Communications the physical location where you will utilize TMAAC-LLC Communications phone service (Service) for each phone line. Also note that if you move your device to another location, you must register your new location. If you do not register your new location, any 911 call you make may be sent to an emergency center near your old location. You will register your initial location of use when you subscribe to the Service. This process can take several hours, and you will receive a confirmation email once 911 Dialing has been activated for your initial location or for a newly registered location. Regardless of what address you register for a WiFi or SoftPhone, emergency calls you make from these devices will be routed to the TMAAC-LLC Communications national emergency response center. Remember that our 911 Dialing service will not function in the event of a broadband or power outage OR if your broadband, ISP or TMAAC-LLC Communications phone service is terminated.

Travel Charges:
Mileage Charge: Service locations outside of Franklin County, Ohio may incur a travel charge. For any location greater than 50 miles from the geographical center of Franklin County, Ohio (40.1653411,-83.4485562), mileage charges are applied based on the current IRS Standard Mileage Rate. This charge is calculated for round-trip travel from our base location.
Mileage Calculation: The mileage charge will be calculated by multiplying the total round-trip miles by the current IRS Standard Mileage Rate.

Parking Charges:
Parking Charges: Regardless of the service location's distance, any applicable parking fees (e.g., parking meter, parking lot, or parking garage)

No-Show and Last-Minute Cancellation Policy
At TMAAC-LLC, we value your time and commitment to learning. To ensure fairness and efficient use of our resources, we have established the following policy for no-shows and last-minute cancellations for both in-person and online classes.
This policy applies to all scheduled in-person and online classes provided by TMAAC-LLC. By enrolling in a class, you agree to the terms outlined below.
No-Show: Failure to attend a scheduled class without prior notice.
Last-Minute Cancellation: Cancelling a scheduled class less than 24 hours before the start time.
In-Person Classes: Cancellations must be made at least 24 hours in advance to avoid fees.
Online Classes: Cancellations must also be made at least 24 hours in advance.
No-Show Fee: If you do not attend a class and fail to notify us in advance, a no-show fee will apply.
Last-Minute Cancellation Fee: If you cancel within 24 hours of the scheduled class, you will be charged a fee.
Prepaid Classes: For prepaid classes, the no-show or last-minute cancellation fee will be deducted from your account or payment.
We understand that emergencies can occur. If you are unable to attend due to an unavoidable circumstance, please contact us as soon as possible. Exemptions may be granted at our discretion on a case-by-case basis.
